Speaker Release Terms
I, the undersigned participant (“I” “me” or “participant”), hereby irrevocably grant Feline Fundamentals Limited, and its employees, agents, contractors, supplies, parents, affiliates, subsidiaries, licensees, successors and assigns (collectively, “Producer”) the unlimited in royalty free right to photograph, film, record, capture and use my name, appearance, and other personal characteristics and biological information (collectively, the “Likeness”) as such Likeness appears in photographs, audio/visual/audiovisual recordings, and any other type of media (collectively, the “Recordings”) and to use or exploit the Recordings, or any part or parts thereof, in connection with any content or programs created, produced or distributed by Producer (collectively, the “Programs”), including in: (i) the promotion, advertising, sale, publicizing and exploitation of the Programs; and (ii) any derivative (e.g., sequels, compilations, etc.), allied and/or ancillary works associated with or related to the Programs, in any manner throughout the universe, in perpetuity, in all media now known and hereafter developed.
I agree that Producer is, and will be, the sole and exclusive owner of all right, title, and interest in and to the Recordings that Producer photographs, films, records, or captures (including all outtakes and behind-the-scenes footage) (the “Producer Recordings”), including all copyrights and other intellectual property rights, in perpetuity, throughout the universe. To the extent the Producer Recordings do not qualify as “work made for higher” as defined in the Chapter 528 - Copyright Ordinance of Hong Kong, I hereby assign and transfer irrevocably to Producer all right, title, and interest in and to the Producer Recordings, in perpetuity, throughout the universe. I hereby irrevocably with any and all claims I may now or hereafter in any jurisdiction to so-called “moral rights” or rights of droit moral in the Producer Recordings.
I agree that Producer she’ll have the right to edit the Recordings, including my Likeness within the Recordings, as Producer sees fit. I agree that Producer has no obligation to use the Recordings or to exercise any rights granted in this release.
I represent and warrant that I am at least 18 years of age, and I have full right, power, and authority to enter into this release and grant the right to set out in this release. I further represent and warrant that to the best of my knowledge, I will provide only true and correct statements and other information in connection with the Recordings and not my participation in the Recordings, and the use of the Recordings by Producer is contemplated herein, do not and will not violate any third-party rights and that no consent or authorization from any third-party, or any payment to myself or any third-party, is required for Producer to fully exercise their rights granted to it and it’s release. I hereby release and agreed to defend, indemnify, and hold harmless Producer from and against all claims by third-parties resulting from my breach or alleged reach of this release or any of the representations and warranties in this release. This is the sole and entire agreement between Producer and me regarding the subject matter and in this release, and it’s supersedes all prior understanding and communications, both oral and written, with respect to its subject matter. This release may only be amended in a written agreement signed by both Producers and me. I agree that my sole remedy for a breach of this agreement by Producer is an action at law for money damages, and I should not have the right to enjoin, restrain or otherwise interfere with Producer or the distribution or other exploitation of the Recordings or the Programs. This release is governed by and construed in accordance with the laws of Hong Kong SAR without any reference to any principles of conflict which might cause the application of the laws of another region, and any action instituted by either party arising out of this release should only be brought, tried and result in the applicable courts having jurisdiction in Hong Kong SAR. By agreeing, I acknowledge that I have read the appearance release fully and understand my rights.
